Terms of Service

These Terms of Service ("Terms") are an agreement between Prospectrail ("Prospectrail", "we", "us") and the agency or company that creates an account ("you", "your agency"). By creating an account, subscribing to a plan, or using the product, you agree to these Terms on behalf of your agency.

Prospectrail is sold to agencies that run outbound lead generation and outreach on behalf of their own clients. It is not sold directly to consumers, and nothing in the product is intended for use by, or collects information from, individual consumers acting in a personal capacity.

Prospectrail is a workspace for managing leads, generating campaign strategy and message drafts with the help of AI, tracking a pipeline through to a closed outcome, and preparing outreach messages for export. Your agency can present the product under its own name, logo and colour ("white-label") to its own clients.

Prospectrail does not send email, SMS, or any other outreach on your behalf. Prepared messages are exported for your agency to send through infrastructure you control. You are solely responsible for how, when, and to whom outreach is actually sent — including obtaining any consents required, honouring opt-outs, and complying with CAN-SPAM, TCPA, and every other law that applies to your campaigns and your jurisdiction. Built-in compliance checks (for example, restricting prepared outreach to confirmed United States addresses) are a tool to help you avoid mistakes, not a substitute for your own legal judgment or a guarantee of compliance.

You are responsible for the accuracy of the information you enter, for keeping your login credentials secure, and for everything that happens under your account, including actions taken by your team members and, where applicable, your own clients through a read-only client login you create for them.

You agree not to use Prospectrail to collect or process personal data you were not legally entitled to collect, to send unsolicited messages in violation of applicable law, to attempt to access another agency's workspace or data, to reverse-engineer or resell the platform itself outside of your own white-labelled use of it, or to upload content that is unlawful, infringing, or that you do not have the right to use.

Lead scoring, message drafts, campaign strategy, and landing copy may be generated with the assistance of a third-party AI model. AI output can be inaccurate, incomplete, or inappropriate for a given recipient. Nothing generated by the product is sent or acted on automatically without a person in your agency reviewing and approving it first — that review, and the final content of anything you send, is your responsibility.

Paid plans are billed through Stripe on the cycle shown at checkout, together with a one-time setup fee on the first invoice. Fees are charged in advance and, except where required by law or stated otherwise, are non-refundable. You can cancel at any time from the billing portal; your access continues until the end of the period you have already paid for, and no further charges are made afterwards.

If a payment fails, we may suspend or limit access to the account until the balance is resolved. Prices may change for future billing periods with reasonable notice; a price change never applies retroactively to a period you have already paid for.

Data you or your agency's clients put into Prospectrail — leads, messages, campaign content, and results — belongs to you. We process it to provide the product to you, as described in the Privacy Policy. You are responsible for having the right to store and process that data, including any personal data belonging to your own clients or their leads.

If your subscription ends, we retain your data for a limited period to allow you to export it or reactivate, after which it may be deleted. You can request deletion sooner by contacting us.

We aim to keep the product available and reliable but do not guarantee uninterrupted access. We may add, change, or remove features over time; where a change materially reduces what a paid plan includes, we will make reasonable efforts to tell you in advance.

The product is provided "as is." To the fullest extent permitted by law, Prospectrail disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and is not liable for indirect, incidental, or consequential damages, or for outreach sent, or not sent, using content prepared in the product. Our total liability for any claim arising from these Terms is limited to the amount you paid us in the twelve months before the claim arose.

Either party may terminate this agreement as described above for a normal cancellation. We may also suspend or terminate an account that materially breaches these Terms, including the acceptable-use restrictions in Section 3, after reasonable notice where practical.

We may update these Terms from time to time. If a change is material, we will make reasonable efforts to notify agencies on an active plan before it takes effect. Continuing to use the product after a change takes effect means you accept the updated Terms.
